Risk Disclosure & Complaints

Please note the following disclosures associated with digital assets (referred to herein as "virtual currency"):
- Virtual currency is not legal tender, is not backed by the government, and accounts and value balances are not subject to Federal Deposit Insurance or Securities Investor Protection protections.
- Legislative and regulatory changes or actions at the provincial/state, federal, or international level may adversely affect the use, transfer, exchange, and value of virtual currency.
- Transactions in virtual currency may be irreversible, and, accordingly, losses due to fraudulent or accidental transactions may not be recoverable.

- The value of virtual currency may be derived from the continued willingness of market participants to exchange fiat currency for virtual currency, which may result in the potential for permanent and total loss of value of a particular virtual currency should the market for that virtual currency disappear.
- There is no assurance that a person who accepts a virtual currency as payment today will continue to do so in the future.
- The volatility and unpredictability of the price of virtual currency relative to fiat currency may result in significant loss over a short period of time.

AML Policy

As an international group, Layer2 Financial Holdings Inc. ("Layer2"), has a variety of Anti-Money Laundering and Counter Terrorism regulations tied to the following licenses: applying for Money Services Business (FinCEN), Money Transmitter Licenses in various states, FINTRAC in Canada, and BitLicense with the New York State Department of Financial Services ("NYDFS"). Layer2 and its subsidiaries have several programs and policies that work to ensure that Layer2 is not facilitating money laundering or terrorist activities. The programs and procedures include but are not limited to the following:
Layer2 has a Compliance Team that serves to ensure that Layer2 is compliant with applicable legislations, regulations, rules, and industry guidance to prevent money laundering and terrorist activity.
Layer2 has a Know Your Customer program with the collection of information on applicant beginning at on-boarding to the marketplace. This information is reviewed and verified before any access is given.
Once onboarded, clients and customers are reviewed periodically as a part of the Customer and Enhanced Due Diligence process and those that present higher risk, such as Politically Exposed Persons, are reviewed once a year or when changes occur. In addition, transactions are routinely monitored for suspicious activity.
If any money laundering or terrorist activities are suspected this information is shared with the relevant authorities.
All employees of Layer2 and its subsidiaries receive Anti-Money Laundering and Compliance training every year to raise awareness of AML and Compliance policies and programs.
